1. Acceptance of Terms
These Terms & Conditions apply to your access to and use of NidhiNote, a cloud-based business management platform owned and operated by WayBig Creators. By creating an account, subscribing to a plan, using a demo account or otherwise using the service, you agree to these Terms.
If you use NidhiNote for a business or other organization, you confirm that you are authorized to accept these Terms for that organization.
2. NidhiNote Service
NidhiNote provides software functions for managing business information such as customers, vendors, products, inventory, invoices, payments, expenses, reports and related workflows. Plans may include Starter, Business, Enterprise or other packages introduced by WayBig Creators.
NidhiNote is provided as software functionality. Users remain responsible for their own accounting, tax, GST, statutory filings and professional compliance decisions. Any future accounting guidance or advisory-style features will be subject to their applicable descriptions, limitations and terms at that time.
3. Accounts and User Responsibilities
- Each customer receives an organization/account based on the subscribed plan.
- You must provide accurate account information and keep it reasonably up to date.
- Login credentials must not be shared with unauthorized persons.
- You are responsible for the accuracy, legality and completeness of information entered into your NidhiNote account.
- You are responsible for securing your account and promptly reporting suspected unauthorized access.
NidhiNote does not specify a separate minimum age for general business account use. However, anyone entering into a paid subscription or binding agreement must have legal capacity to do so under the laws applicable to them.
4. Subscription, Billing and Renewal
NidhiNote subscriptions are offered on monthly and yearly billing cycles. Applicable GST or other taxes are charged separately where required.
Your billing date is based on the date your subscription is activated or registered. If you authorize recurring card or payment credentials through an available payment provider, the subscription may renew automatically until you cancel it.
If payment fails or remains unpaid, NidhiNote provides a grace period of up to 7 days. After the grace period, access may be suspended or terminated until amounts due are resolved.
5. Cancellation and Data
You may cancel your subscription at any time. Cancellation stops the next renewal, while access normally continues until the end of the already-paid subscription period.
After account closure or cancellation, NidhiNote may retain account data for up to 30 days before removing it from the active database, subject to legal retention requirements and normal backup lifecycle processes. See the Privacy Policy for more information.
6. Acceptable Use
You must not use NidhiNote to break the law, infringe third-party rights, distribute malicious code, gain unauthorized access, interfere with the platform, mislead customers about the product, or use the service in a way that may damage NidhiNote, WayBig Creators or other users.
WayBig Creators may suspend or terminate accounts for non-payment, misuse, security risks, unlawful activity or material violations of these Terms.
7. Intellectual Property
NidhiNote software, source code, product design, branding, logos, documentation, content and related intellectual property are owned by WayBig Creators or its applicable licensors.
Ordinary customers may not copy, reverse-engineer, modify, reproduce, sublicense or resell NidhiNote except where applicable law expressly permits such activity.
Authorized distributors may market and resell NidhiNote only within the permissions granted by WayBig Creators and the separate Distributor Terms. Distributor status does not transfer ownership of NidhiNote software or intellectual property.
8. Availability, Maintenance and Changes
NidhiNote does not currently provide a contractual uptime guarantee unless a separate written agreement states otherwise. Service interruptions may occur for maintenance, updates, infrastructure issues, security work or events outside reasonable control.
WayBig Creators may update features, plan limits, pricing, workflows or technical requirements as the product develops. Material subscription changes will be communicated where reasonably required.
9. Service Limitations
NidhiNote is a business software tool and is not a substitute for professional accounting, tax, legal or financial advice. Users should verify statutory, tax and accounting requirements with their own qualified advisers.
To the extent permitted by applicable law, WayBig Creators is not responsible for losses caused by inaccurate data entered by users, unauthorized credential sharing, third-party service failures, or decisions made solely from user-entered reports without independent verification.
10. Changes to These Terms
WayBig Creators may update these Terms as NidhiNote evolves. Continued use after updated terms become effective may constitute acceptance where permitted by applicable law.
11. Governing Law and Jurisdiction
These Terms are governed by the laws applicable in Tamil Nadu, India. Subject to applicable law, disputes relating to NidhiNote or these Terms will fall under the jurisdiction of the competent courts in Tirupur, Tamil Nadu, India.
