1. Appointment and Eligibility
Individuals and businesses in India or other countries may apply to become NidhiNote distributors. Distributor appointment is subject to approval by WayBig Creators, completion of the applicable onboarding process and payment of any joining or setup fee communicated for the selected distributor plan.
Appointment as a distributor creates a limited commercial authorization to market and resell NidhiNote. It does not create employment, partnership, agency ownership or ownership of NidhiNote intellectual property.
2. Distributor Plan and Minimum Commitment
Distributor access, customer capacity and commercial benefits depend on the distributor panel or plan selected. Unless WayBig Creators agrees otherwise in writing, distributors are expected to maintain a minimum commitment of 15 customer users/subscriptions.
Distributor charges may include a joining/setup fee and a sales-percentage or commission-based commercial structure. The applicable commercial amounts will be communicated separately for the distributor's selected plan.
3. Pricing, Discounts and Commission
WayBig Creators determines NidhiNote's official plan structure and base selling prices. Authorized distributors may offer discounts where permitted, provided the discount does not misrepresent the product, violate written pricing instructions or create obligations that WayBig Creators has not approved.
Distributor earnings are commission-based or otherwise calculated according to the commercial plan agreed with WayBig Creators.
4. Customer Sales, Invoicing and Tax
- Distributors may collect payment directly from their customers where their distributor arrangement permits it.
- The distributor is responsible for issuing invoices to its customers for sales made directly by the distributor.
- The distributor is responsible for GST, tax registrations, filings and other tax obligations that apply to its own invoicing and collections.
- Distributors create customer accounts through the distributor facilities provided by NidhiNote.
- WayBig Creators provides product-level customer support for NidhiNote, while distributors remain responsible for accurate sales communication and customer coordination.
5. NidhiNote Brand and Marketing
Authorized distributors may use approved NidhiNote logos, brand materials and product information for legitimate NidhiNote sales and advertising. Distributors may run advertising campaigns using NidhiNote branding, provided such campaigns are accurate, lawful and consistent with brand instructions supplied by WayBig Creators.
A distributor must never claim to own NidhiNote, WayBig Creators, the NidhiNote source code, trademarks, software or intellectual property.
6. Software and Intellectual Property Restrictions
Distributor rights are limited to authorized marketing, customer onboarding and resale activities. Unless a separate written agreement expressly states otherwise, distributors may not copy, reverse-engineer, modify, reproduce, sublicense or create derivative versions of the NidhiNote software.
Any separate white-label, customization or software arrangement must be documented independently and does not arise automatically from distributor status.
7. Sub-Distributors and Territory
Distributors may appoint sub-distributors where permitted by their plan and remain responsible for ensuring that sub-distributors comply with applicable NidhiNote rules.
Territorial exclusivity applies only when WayBig Creators has specifically confirmed an exclusive territory in writing. Unless such written exclusivity exists, WayBig Creators may appoint more than one distributor in the same city, state, region or country.
8. Customer Data and Confidentiality
Distributors may access or export customer contact data only to the extent enabled by their authorized distributor panel and necessary for legitimate customer management. Customer information must be treated as confidential and handled lawfully.
Distributors must keep confidential all non-public pricing arrangements, product information, customer information, technical information, credentials and commercial materials received through their relationship with WayBig Creators.
9. Distributor Conduct
Distributors must represent NidhiNote accurately and must not make misleading promises, false claims, unauthorized guarantees or statements that conflict with the official product capabilities, pricing or terms.
WayBig Creators may review distributor status where the distributor repeatedly fails to meet the agreed customer commitment, misleads customers, misuses customer information, damages the NidhiNote brand, fails to meet payment obligations or materially breaches these Terms.
10. Suspension and Termination
Either party may end the distributor relationship by giving approximately 30 days' notice, unless immediate suspension or termination is reasonably required because of fraud, serious misconduct, unlawful activity, customer harm, security risk, misleading product representation or another material breach.
Distributor joining, setup or other distributor fees are non-refundable unless WayBig Creators expressly agrees otherwise in writing.
11. Customers After Distributor Termination
When a distributor relationship ends, WayBig Creators may take over or reassign active NidhiNote customer accounts to maintain continuity of service. The former distributor must reasonably cooperate in handing over customer and subscription information needed for that transition.
12. Governing Law and Jurisdiction
These Distributor Terms are governed by the laws applicable in Tamil Nadu, India. Subject to applicable law, disputes relating to the NidhiNote distributor relationship will fall under the jurisdiction of the competent courts in Tirupur, Tamil Nadu, India.
